By using the Services, you confirm that:

ApexScale provides:
AI-powered receptionists
AI chatbots for lead capture and customer engagement
Automated messaging workflows
AI-driven business tools and integrations
These Services may integrate with third-party platforms such as GoHighLevel, OpenAI, Gemini, Grok, and other automation technologies.
3. Accounts and Access
You may be required to create an account to use certain features. You agree to:
Provide accurate information
Keep your login credentials secure
Accept responsibility for all activity under your account
We may suspend or terminate access if we believe your account has been compromised or misused.
4. Payment Terms
By subscribing or purchasing Services, you agree to the following:
4.1 Billing
We offer subscriptions, one-time purchases, and free trials.
Subscriptions renew automatically on a monthly basis until canceled.
You authorize ApexScale to charge your payment method on each billing cycle.
4.2 Free Trials
Trial duration varies. Once the trial expires, billing begins automatically unless you cancel beforehand.
4.3 Refund Policy
ApexScale does not offer refunds for any reason, including:
Non-use of the service
Dissatisfaction with AI outputs
Failure to cancel before renewal
All sales are final.
5. User Responsibilities
You agree NOT to:
Use the Services for any illegal or unlawful purpose
Use AI outputs to generate harmful, abusive, or deceptive content
Upload or input third-party content that infringes intellectual property
Misuse, reverse engineer, or disrupt the Services
Circumvent usage limits or access controls
You are solely responsible for verifying the accuracy and legality of all AI-generated content before using it.
6. Intellectual Property
6.1 Client Content
You retain full ownership of:
Inputs you provide
Output generated for your business
Your business data
You grant ApexScale a limited license to process this content only for providing the Services.
6.2 ApexScale IP
ApexScale retains ownership of:
All software, automations, workflows, tools, scripts
Branding, UI, features, and system logic
Any proprietary technologies or configurations
You are granted a non-exclusive, non-transferable license to use the Services as provided.
6.3 Prohibited Uses
Clients may not:
Resell, sublicense, or redistribute ApexScale tools or automations
Reproduce or copy proprietary systems
Claim ownership over ApexScale’s technology
7. Company Rights
ApexScale reserves the right to:
Modify or update the Services at any time
Suspend or terminate user accounts for violations
Enforce fair-use or usage limits
Remove content that violates these Terms
Change pricing with reasonable notice
8. Disclaimers
8.1 AI Accuracy
AI outputs may contain errors, hallucinations, or inaccuracies.
You acknowledge that:
AI is not 100% reliable
You must review outputs before using them
ApexScale is not liable for actions taken based on AI content
8.2 No Warranties
The Services are provided “as is” and “as available.”
We do not guarantee:
uninterrupted access
error-free performance
accuracy or reliability of AI models
suitability for specific business outcomes
9. Limitation of Liability
To the fullest extent permitted by law:
ApexScale is not liable for lost profits, lost revenue, data loss, or business interruption.
ApexScale’s total liability is capped at the amount you paid in the last 30 days prior to any claim.
You agree that this cap is fair and reasonable given the nature of AI services.
10. Termination
10.1 By User
You may cancel your subscription or discontinue Services at any time via your account portal.
No refunds will be issued.
10.2 By ApexScale
We may suspend or terminate access if:
You violate these Terms
You misuse the Services
Required payments are not completed
We believe your use poses security or legal risks
Upon termination, access to the Services will cease immediately.
11. Governing Law
These Terms are governed by the laws of Malta, without regard to conflicts of law principles.
Any disputes will be resolved in the courts of Malta.
12. Changes to the Terms
We may update these Terms periodically.
The “Last Updated” date will reflect the latest version.
Continued use of the Services constitutes acceptance of updates.
